Will 32 bit software works well on 64 bit machine in which Win XP 64 bit version is installed?

Yes, all that will happens is that you are able to run up to 64 colours, but if you only need 32 you will only get 32.
Similar to if you just need Black and White, then it isn't going to add red in there.
